1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Code Fluxr platform, tools, websites, and related services (collectively, the "Service"), owned and operated by CollabScale LLC ("CollabScale," "we," "our," or "us").
By accessing or using the Service, creating an account, or clicking "I agree" (or similar), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In such cases, "you" and "your" refer to both you as an individual and that entity.
2. Changes to These Terms
We may update or modify these Terms from time to time. When we do, we will update the "Effective Date" above and may provide additional notice (such as via email or in-product notification). Any changes are effective when posted unless otherwise specified.
Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service.
3. Eligibility
You may use the Service only if:
- you are at least 18 years of age;
- you have the legal capacity to enter into a binding contract; and
- you are not prohibited from using the Service under applicable law.
You may not use the Service if you are located in a jurisdiction where use of AI-based development tools or export of such technology is prohibited under U.S. or other applicable export-control laws.
You represent and warrant that you are not located in, organized under, or a resident of any country subject to U.S. embargo or sanctions, and that you are not listed on any U.S. government denied-party or restricted-person list. You will not use the Service in violation of U.S. export control laws or international sanctions laws.
4. Description of the Service
Code Fluxr is an AI-assisted development platform that enables users to create, modify, analyze, test, and deploy software applications, code, and related assets based on user inputs and prompts ("Generated Output"). The Service may include development environments, deployment tools, integrations with third-party services, analytics, and related features.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis and may be updated, modified, or discontinued at any time, with or without notice, in our sole discretion.
5. Account Registration and Security
5.1 Registration
To access certain features of the Service, you may be required to create an account and provide accurate, current, and complete information. You agree to keep this information up to date.
5.2 Credentials
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
5.3 Our Right to Suspend or Terminate
We may suspend, restrict, or terminate your account or access to the Service at any time, with or without notice, if we believe you have violated these Terms, pose a risk to the Service or other users, fail to pay fees when due, or for any other reason permitted by law.
6. User Content
6.1 Definition
"User Content" means any data, prompts, code, text, files, documents, images, configuration, or other materials that you submit, upload, or otherwise provide to or through the Service, excluding Generated Output and any content owned by CollabScale or its licensors.
6.2 Ownership
You retain ownership of your User Content. These Terms do not transfer ownership of your User Content to CollabScale.
6.3 License to CollabScale
You grant CollabScale a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (solely as necessary to operate the Service), process, display, and otherwise use User Content for the following purposes:
- to provide, maintain, and improve the Service;
- to secure, monitor, and troubleshoot the Service;
- to comply with applicable law and enforce these Terms.
6.4 Responsibility for User Content
You are solely responsible for your User Content and for ensuring that it:
- does not violate any applicable law or regulation;
- does not infringe, misappropriate, or violate any third-party rights;
- does not contain malicious code, backdoors, or harmful instructions.
We are not obligated to monitor or review User Content, but we reserve the right to remove or restrict any User Content that we believe violates these Terms or applicable law.
7. AI-Generated Output
7.1 Nature of Generated Output
The Service may generate code, configurations, documentation, and other content based on your prompts and User Content ("Generated Output"). Generated Output may be experimental, incomplete, inaccurate, non-functional, insecure, or otherwise unsuitable for production use without review.
7.2 Ownership of Generated Output
As between you and CollabScale, and to the extent permitted by applicable law and third-party terms, we grant you rights to use, reproduce, modify, distribute, and commercialize Generated Output. These rights do not include any ownership or license to the Service, underlying models, or CollabScale's intellectual property.
7.3 Your Responsibilities
You acknowledge and agree that:
- You are solely responsible for reviewing, testing, validating, securing, and approving any Generated Output before using it in any environment, including development, staging, or production.
- You are solely responsible for ensuring that any application, code, or content created or derived from Generated Output complies with all applicable laws, regulations, and third-party terms (including open-source licenses, data protection laws, export controls, and industry standards).
- You assume all risk associated with the use of Generated Output, including but not limited to security vulnerabilities, data loss, outages, failures, and any harm to you, your users, or third parties.
7.4 No Guarantee or Monitoring
CollabScale does not guarantee the accuracy, quality, safety, or fitness of any Generated Output, and is under no obligation to review, monitor, audit, or approve code or applications that you create with the Service.
8. Deployment, Hosting, and End-User Interactions
8.1 Your Applications
You may use the Service to deploy or host applications, services, or websites ("Your Applications") for use by your end users or customers. You remain solely responsible for:
- the design, functionality, performance, and security of Your Applications;
- user authentication, authorization, access control, and data handling;
- the content, behavior, and outputs of Your Applications;
- compliance with all applicable laws and regulations, including data protection, consumer protection, and accessibility laws.
8.2 End-User Interactions
CollabScale does not control or monitor how your end users interact with Your Applications. You acknowledge and agree that:
- All liability arising from or relating to Your Applications and your end users' activities is solely yours;
- CollabScale has no responsibility or liability for any claims, disputes, or damages arising from Your Applications or end-user interactions;
- You must provide appropriate terms, privacy policies, and notices to your end users as required by law.
8.3 Third-Party Services and External Links
If Your Applications integrate with or link to third-party services, APIs, libraries, or external websites ("Third-Party Resources"), you do so at your own risk. CollabScale is not responsible for:
- the availability, performance, security, or legality of Third-Party Resources;
- any data sharing or transfer to or from Third-Party Resources;
- any damages or liabilities arising from your use of Third-Party Resources.
You are solely responsible for complying with the terms and policies governing Third-Party Resources.
8.4 No Responsibility for User Conduct
You acknowledge and agree that CollabScale is a technology platform provider only. CollabScale does not create, control, operate, supervise, or endorse Your Applications. CollabScale is not responsible for unlawful, fraudulent, deceptive, negligent, or harmful acts committed by you or any third party through Your Applications, including any claims arising from your end users' interactions with Your Applications. You assume sole responsibility and liability for all consequences arising from Your Applications and your end users' conduct.
8.5 No Duty to Monitor
CollabScale has no obligation to monitor, review, audit, screen, validate, or pre-approve User Content, Generated Output, or Your Applications. Any decision by CollabScale to take action (including removal, restriction, suspension, or termination) does not create a duty to monitor and does not constitute acceptance of liability.
9. Acceptable Use Policy
For clarity, you may not use the Service to build, distribute, or operate applications that are illegal, nefarious, fraudulent, or intended to facilitate wrongdoing, including malware, credential theft, evasion, surveillance misuse, or other unlawful conduct. You are solely responsible for ensuring Your Applications comply with all applicable laws and regulations.
You agree that you will not use the Service, Generated Output, or Your Applications to:
- develop, distribute, or execute malware, ransomware, bots, or code intended to harm, disrupt, or gain unauthorized access to systems, devices, or data;
- engage in fraudulent, deceptive, or illegal activities, including phishing, identity theft, or money laundering;
- infringe, misappropriate, or violate intellectual property rights, privacy rights, or other rights of any person or entity;
- generate or disseminate content that is unlawful, harassing, defamatory, hateful, discriminatory, or otherwise objectionable under applicable law;
- create or assist in the creation of weapons, surveillance tools intended for unlawful use, or systems that are designed to cause physical harm;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, or underlying technology of the Service (except to the extent such restriction is prohibited by law);
- circumvent, disable, or interfere with security-related features, usage limits, metering, or access controls of the Service;
- use the Service to train, build, or improve competing models or services that provide AI-generated code-generation or similar functionality, except as expressly permitted by CollabScale in writing;
- overload, interfere with, or disrupt the integrity or performance of the Service or its infrastructure.
CollabScale may investigate and take any action it deems appropriate, including suspension or termination of access to the Service, for any violation of this Acceptable Use Policy.
10. Fees and Payment
10.1 Fees
Certain features or tiers of the Service may require payment of fees. You agree to pay all applicable fees described at the time of purchase or subscription, including any recurring subscription fees.
10.2 Billing and Renewal
If you purchase a subscription, you authorize CollabScale (or its payment processor) to charge your designated payment method on a recurring basis until you cancel. You are responsible for ensuring your payment information is accurate and up to date.
10.3 Taxes
All fees are exclusive of any taxes, duties, or similar governmental assessments. You are responsible for any such taxes, except for taxes based on CollabScale's net income.
10.4 No Refunds
Except where required by law or where expressly stated otherwise, all fees are non-refundable.
10.5 Credits; Token-Based Usage
The Service may operate on a prepaid credit system ("Credits") that corresponds to the cost of AI processing, including token-based usage, third-party model calls, and related compute or infrastructure consumption. Credits are not legal tender or currency, are not stored value, and do not constitute a deposit, bank account, or other financial instrument. Credits are non-transferable and may not be resold.
10.6 No Cash Value; Final Sale; No Refunds (Credits)
Credits have no cash value and are not redeemable for cash. ALL CREDIT PURCHASES AND ALL USAGE-BASED CHARGES ARE FINAL AND NON-REFUNDABLE TO THE MAXIMUM EXTENT PERMITTED BY LAW. You acknowledge that AI processing consumes third-party computational resources and other costs immediately upon invocation. Credits (and any associated fees) are deemed used at the time processing begins, regardless of output quality, completeness, performance, or outcome.
10.7 Chargebacks and Payment Disputes
Initiating a chargeback, payment dispute, or reversal after receiving Credits or using the Service may result in immediate suspension or termination of your account, forfeiture of remaining Credits, and recovery action for amounts owed, where permitted by law. CollabScale reserves the right to pursue all lawful remedies for fraudulent or abusive chargebacks.
10.8 Credit Expiration and Changes
CollabScale may impose expiration dates or other conditions on Credits and may change pricing, conversion rates, or credit structures at any time. Credits do not represent guaranteed pricing or any vested right to continued service availability.
11. Intellectual Property
11.1 Ownership
The Service, including all software, models, algorithms, user interfaces, designs, documentation, and other materials, is owned by CollabScale or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you under these Terms, CollabScale reserves all rights, title, and interest in and to the Service.
11.2 License to Use the Service
Subject to your compliance with these Terms, CollabScale grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes.
11.3 Trademarks
"CollabScale," "Code Fluxr," and associated logos are trademarks or service marks of CollabScale LLC. You may not use these marks without our prior written consent.
12. Confidentiality
You may receive confidential or proprietary information from CollabScale, including non-public information about features, roadmaps, technologies, or business operations ("Confidential Information"). You agree to:
- use Confidential Information solely as necessary to use the Service in accordance with these Terms;
- not disclose Confidential Information to any third party without CollabScale's prior written consent;
- protect Confidential Information with at least the same degree of care that you use to protect your own confidential information, and in no event less than reasonable care.
Confidential Information does not include information that is or becomes publicly available through no fault of yours, is independently developed without reference to Confidential Information, or is rightfully received from a third party without confidentiality obligations.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL GENERATED OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.
COLLABSCALE LLC AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
- THE SERVICE OR GENERATED OUTPUT WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR SECURE;
- THE SERVICE WILL OPERATE WITHOUT INTERRUPTION OR BE AVAILABLE AT ALL TIMES;
- ANY DEFECTS OR ERRORS WILL BE CORRECTED;
- GENERATED OUTPUT OR YOUR APPLICATIONS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
- GENERATED OUTPUT OR YOUR APPLICATIONS WILL BE FREE OF VULNERABILITIES OR SUITABLE FOR PRODUCTION USE.
YOU ASSUME ALL RISK FOR ANY DAMAGE THAT MAY RESULT FROM YOUR USE OF OR ACCESS TO THE SERVICE, YOUR DEALING WITH ANY OTHER USER, AND YOUR USE OF GENERATED OUTPUT OR YOUR APPLICATIONS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COLLABSCALE LLC OR ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR GENERATED OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF COLLABSCALE LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE OR GENERATED OUTPUT WILL NOT EXCEED THE GREATER OF:
- THE TOTAL AMOUNT PAID BY YOU TO COLLABSCALE FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS (US $100).
THE LIMITATIONS IN THIS SECTION APPLY TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ANY LIMITED REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
15. Indemnification
This includes, without limitation, claims arising from alleged unlawful conduct, regulatory violations, data protection violations, security incidents caused by Your Applications, and payment disputes or chargebacks related to your account or usage.
You agree to indemnify, defend, and hold harmless CollabScale LLC and its affiliates, officers, employees, contractors, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- your use of the Service, Generated Output, or Your Applications;
- your violation of these Terms;
- your violation of any rights of another person or entity, including intellectual property, privacy, or other rights;
- any dispute between you and any end user, customer, or third party related to Your Applications, your services, or your business;
- your use of Third-Party Resources in connection with the Service.
CollabScale reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be brought exclusively in the state or federal courts located in Texas, and you and CollabScale consent to the personal jurisdiction of such courts.
Nothing in this Section limits either party's ability to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or curtail infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.
17. Miscellaneous
17.1 Entire Agreement
These Terms constitute the entire agreement between you and CollabScale regarding the Service and supersede any prior or contemporaneous agreements on the same subject matter.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
17.3 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without CollabScale's prior written consent. CollabScale may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
17.4 No Waiver
No waiver of any provision of these Terms will be effective unless in writing and signed by CollabScale. The failure to enforce any right or provision will not constitute a waiver of that right or provision.
17.5 Relationship of the Parties
The parties are independent contractors. These Terms do not create a partnership, joint venture, employment, fiduciary, or agency relationship between you and CollabScale.
You have no authority to bind CollabScale LLC in any manner, and you may not represent that you have such authority. CollabScale is not responsible for any representations you make to third parties.
